Part A — Website
1. Scope and provider
These Terms and Conditions ("Terms") govern (i) your use of the websiteen-hospitality.com and www.en-hospitality.com("Website"), (ii) engagements for EN. Marketing services (Part B) and (iii) participation in EN. Social events (Part C). The provider is Apex Reach Media, a sole proprietorship of Lars Hartog, Haselweg 7c, 48703 Stadtlohn, Germany ("we", "us", "our"). "EN." is a brand of Apex Reach Media. Full provider details are in our Legal Notice.
Parts B and C apply only if and when you actually engage us for services or register for an event; using the Website alone is governed by Part A. Where we and you conclude a separate individual agreement (for example a statement of work or an event confirmation with specific terms), that agreement takes precedence over the corresponding provisions of these Terms.
A "consumer" is any natural person entering into a transaction for purposes that are predominantly outside their trade, business or profession (§ 13 BGB). An "entrepreneur" acts in the exercise of their trade, business or profession (§ 14 BGB).
By accessing or using the Website you agree to Part A of these Terms.
2. Purpose of the website
The Website presents the EN. brand and provides information about our activities, in particular cross-border brand and marketing consulting ("EN. Marketing") and curated gatherings for creative communities ("EN. Social"). The content is provided for general information purposes only.
3. No contract formation through the website
The Website does not allow you to conclude a contract online and does not currently sell goods, services or tickets. Descriptions of our services and events do not constitute a binding offer. Any engagement or event participation is agreed separately as set out in Parts B and C.
4. Enquiries and communications
When you send us an enquiry via the contact form or by email, you are asking us to contact you; this alone creates no obligation on either side. Please do not send confidential or sensitive information through the contact form. How we handle the data you send is set out in ourPrivacy Policy.
5. Intellectual property in the website
All content on the Website — including text, graphics, layout, the "EN." name and logo, images and design — is owned by or licensed to Apex Reach Media and is protected by copyright, trade mark and other intellectual property laws. The typefaces used ("Hanken Grotesk", "Instrument Serif") are third-party open-source fonts under the SIL Open Font License.
You may view the Website and download or print individual pages for your own private, non-commercial use. Any other use — in particular reproduction, distribution, public display, modification or commercial exploitation — requires our prior written consent.
6. Permitted use
You agree not to:
- use the Website in a way that breaches applicable law or these Terms;
- attempt to gain unauthorised access to the Website, its server or connected systems;
- introduce malware or interfere with the operation, security or availability of the Website;
- use automated means to access, scrape or copy substantial parts of the Website without our consent;
- submit false information or another person's data through the contact form.
7. Third-party links
The Website contains links to third-party websites (for example social media profiles). We have no control over, and accept no responsibility for, the content, products, services or privacy practices of those websites. Links do not imply endorsement. Your use of third-party websites is at your own risk and subject to their terms.
8. Availability and changes
We aim to keep the Website available but do not guarantee uninterrupted or error-free operation. We may change, suspend or discontinue all or part of the Website, including individual pages and features, at any time.
9. Data protection
We process personal data in accordance with ourPrivacy Policy.
10. Changes to these Terms
We may amend these Terms with effect for the future, for example to reflect changes in our services or the legal framework. For website use, the version published at the time you use the Website applies. For ongoing engagements and event registrations, we will notify you of material changes in text form and, where your consent is required, obtain it; if you do not agree, you may terminate the affected contract in accordance with its terms. The date at the top shows when these Terms were last revised.
11. Governing law and jurisdiction
These Terms and any contract concluded under them are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods and excluding conflict-of-law rules.
If you are a consumer, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of the country in which you have your habitual residence, and you may bring proceedings in the courts of that country.
If you are an entrepreneur, a legal entity under public law or a special fund under public law, or if you have no general place of jurisdiction in Germany, the exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms and any contract concluded under them is the court competent for our registered place of business in Stadtlohn.
12. Severability and contact
Should any provision of these Terms be or become invalid or unenforceable, the validity of the remaining provisions is not affected.

Part B — EN. Marketing services
13. Scope of Part B
Part B applies to paid consulting and production services provided by us under the EN. Marketing brand, including brand strategy, market entry (Japan–Europe), PR and communications, cross-cultural marketing, community building, pop-up experiences, event production and strategic partnerships ("Services"). Part B applies to entrepreneurs; where a client is a consumer, mandatory consumer-protection provisions take precedence over any conflicting clause in Part B.
14. Formation of the engagement
An engagement is formed when we and the client sign, or confirm in text form, an individual agreement, proposal or statement of work ("SOW") that describes the Services, deliverables, timeline and fees. Our proposals are valid for the period stated in them and otherwise for 14 days. Verbal side agreements require our confirmation in text form to be effective. The client's own general terms and conditions do not apply, even if we do not expressly object to them.
15. Scope of services and changes
We owe the Services described in the SOW with the professional care customary in the industry. Unless expressly agreed, we owe a service (Dienstleistung), not a specific economic success or result. Additional or changed requirements ("change requests") are only binding once agreed in text form, including their effect on fees and timeline. We may decline change requests that are disproportionate or outside our expertise.
16. Client cooperation
The client will provide, in good time and free of charge, the information, materials, access, approvals and contacts we reasonably need, and will name a person authorised to give binding instructions and approvals. Approvals and feedback requested from the client are due within the period stated in the SOW or otherwise within 5 working days. Delays or defects caused by the client's failure to cooperate extend our deadlines accordingly and any resulting additional effort is invoiced at our applicable rates.
17. Fees, expenses and payment
Fees are as stated in the SOW, as a fixed price, a time-and-materials rate or a monthly retainer. Unless stated otherwise, fees are exclusive of statutory VAT and of third-party costs and out-of-pocket expenses (e.g. media, licences, travel, venue and supplier costs), which are passed on at cost against evidence and, where substantial, require prior approval.
[Payment terms — e.g. an initial payment of 30 % of the fixed fee on commencement; the remainder on delivery; retainers invoiced monthly in advance.] Invoices are payable without deduction within 14 days of the invoice date. On late payment we are entitled to default interest at 9 percentage points above the base rate (§ 288 (2) BGB) and to a lump sum of EUR 40 (§ 288 (5) BGB), without prejudice to further damage. We may suspend Services while undisputed invoices remain unpaid after a reminder.
18. Timelines and delays
Dates and milestones are binding only if expressly agreed as such in text form. Where we are in default, the client will grant us a reasonable extension of at least 10 working days before exercising further rights. Our liability for delay is subject to Section 24.
19. Results and rights of use
Upon full payment of the fees attributable to the relevant deliverable, we grant the client the rights of use needed for the purpose stated in the SOW: unless agreed otherwise, a non-exclusive, territorially and temporally unlimited right to use the final deliverables for the client's own business purposes. Rights are not transferred before full payment.
We retain ownership of and all rights in our pre-existing know-how, methods, tools, templates, drafts and concepts not selected by the client, and in working files. Open-source and stock components remain subject to their own licences. Modification of deliverables by the client or third parties, and any use beyond the agreed purpose, requires our prior consent and releases us from responsibility for the modified result.
20. Third-party materials and licences
Where the Services involve third-party materials (e.g. images, fonts, music, talent, venues, media placements), the applicable third-party licences and terms apply in addition. Unless expressly included in the fee, licence fees are borne by the client, and licences are limited in scope, territory and time as granted by the rights holder. We identify material third-party terms known to us; the client is responsible for complying with them in its use.
21. Confidentiality
Each party will keep confidential all non-public information of the other party disclosed in connection with the engagement, use it only for the purpose of the engagement, and protect it with reasonable care. This does not apply to information that is or becomes public without breach, was lawfully known before disclosure, is independently developed, or must be disclosed by law or authority (with prior notice where permitted). This obligation continues for 3 years after the end of the engagement. A separate non-disclosure agreement, where concluded, takes precedence.
22. Subcontractors
We may engage qualified subcontractors and freelancers to perform the Services. We remain responsible to the client for their performance. Where subcontractors process personal data on the client's behalf, the data protection arrangements in the SOW or a separate data processing agreement apply.
23. Warranty
For service elements, the statutory provisions on services apply. Where we exceptionally owe a work result (Werkleistung), the client will notify defects in text form; we are entitled to subsequent performance (cure) within a reasonable period, at our choice by rectification or re-performance. If cure fails, the client may reduce the fee or, for significant defects, withdraw from the affected part of the contract. Claims for defects lapse 12 months after acceptance or delivery, except in cases of intent, fraud, or damage to life, body or health.
24. Liability (Part B)
We are liable without limitation for damage arising from injury to life, body or health caused by a breach of duty on our part or by our legal representatives or agents, for damage caused intentionally or by gross negligence, in cases of fraudulent concealment, where we have given a guarantee, and under the German Product Liability Act.
In the event of a slightly negligent breach of a material contractual obligation (an obligation whose fulfilment is essential to the proper performance of the contract and on whose observance the client may regularly rely), our liability is limited to the foreseeable damage typical for this type of contract. Any further liability for slight negligence is excluded. Where our liability is limited or excluded, this also applies to the personal liability of our employees, representatives and agents.
We are not liable for the commercial success of a campaign, market entry or event, for decisions taken by the client, or for the acts or content of media, platforms and partners chosen or approved by the client.
25. Term and termination
A project engagement ends on completion and acceptance of the Services. Ongoing engagements (retainers) may be terminated by either party[notice period — e.g. with 30 days' notice to the end of a calendar month]. The right to terminate for good cause remains unaffected; good cause includes sustained non-payment after a reminder and repeated serious breaches of cooperation duties. Termination must be in text form. On termination, the client pays for Services performed and non-cancellable third-party commitments up to the effective date.
26. References
After public launch of the relevant work, we may name the client and show non-confidential final results in our portfolio and marketing, unless the client objects in text form. Confidential information is never disclosed.
Part C — EN. Social events
27. Scope of Part C
Part C applies to participation in gatherings, dinners, tastings, listening sessions, talks, workshops and similar events organised by us under the EN. Social brand ("Events"). Events may be free, by invitation, or ticketed. Where a specific Event has its own conditions (e.g. a workshop safety briefing or a partner venue's rules), those apply in addition.
28. Registration and confirmation
Registration is made through the channel stated for the relevant Event (e.g. a form, email or a third-party ticketing provider). Your registration is an offer to conclude a participation contract. The contract is formed when we confirm your place in text form or, for ticketed Events, when the ticket is issued. Places are limited; where an Event is full you may be placed on a waiting list, from which we offer places in order if they become available.
29. Invitations and tickets
An invitation to an Event is personal and non-transferable unless we state otherwise. For ticketed Events, a ticket entitles the named holder to admission for the Event stated on it.[State whether tickets are transferable and, if so, on what conditions.] We may refuse admission where a ticket is invalid, duplicated or obtained in breach of these Terms.
30. Prices and payment
Prices for ticketed Events are as stated at registration and include statutory VAT where applicable. Payment is due as stated at registration and is generally required to secure a place.[Name the payment methods and any third-party payment or ticketing provider used.] Your place is confirmed once payment has been received.
31. Changes, postponement and cancellation by us
We may make reasonable changes to an Event's programme, timing, speakers, hosts, menu or format where this does not materially alter the overall character of the Event. We may postpone or cancel an Event, in particular for insufficient registrations, unavailability of a key host or venue, or circumstances beyond our reasonable control.
If we cancel an Event, or postpone it and you cannot attend the new date, we refund any fee you have paid for that Event in full. Beyond the refund, our liability is limited in accordance with Section 38; we do not reimburse travel, accommodation or other incidental costs except where Section 38 provides otherwise.
32. Cancellation by the participant
You may cancel your participation in a ticketed Event by notifying us in text form. The following applies to the Event fee, unless mandatory law or Section 33 provides otherwise:
[Refund schedule — e.g. cancellation more than 14 days before the Event: full refund less a EUR […] administration fee; 7–14 days before: 50 % refund; less than 7 days before or no-show: no refund. Adjust to your cost structure.]
Free Events: please cancel as early as possible so we can offer your place to someone on the waiting list.
33. Right of withdrawal (consumers)
Right of withdrawal. Consumers generally have a 14-day right to withdraw from contracts concluded at a distance. However, under § 312g (2) no. 9 BGB, there is no right of withdrawal for contracts for the provision of services in connection with leisure activities where the contract provides for a specific date or period of performance. EN. Social Events are dated leisure activities; the statutory right of withdrawal therefore does not apply to bookings for a specific Event. Section 32 (cancellation by the participant) applies instead.
Where, exceptionally, a contract with a consumer is not covered by that exemption, we will provide separate statutory withdrawal instructions and a model withdrawal form before you are bound.
34. Conduct at events and house rules
EN. Social is built on respect and depth of connection. By attending you agree to treat other guests, hosts, staff and venue partners with courtesy, to follow the reasonable instructions of the hosts and venue, and to comply with any venue house rules and safety instructions. Harassment, discrimination, threatening or violent behaviour, and unlawful conduct are not tolerated. We may refuse admission to, or remove from an Event, any person who breaches this Section or whose behaviour endangers or seriously disturbs others, without refund.
35. Age requirement and alcohol
Unless stated otherwise for a specific Event, participation requires you to be at least [18] years old. Where alcohol (e.g. sake) is served, it is served only to guests of legal drinking age on production of valid photo ID on request, and responsibly; we may decline to serve alcohol at our discretion. Non-alcoholic options are available.
36. Photography and recordings
Photographs and audio or video recordings may be taken at Events for documentation and for our own communications and marketing. Where you are individually recognisable, we rely on your consent, which you can give or decline at the Event and withdraw afterwards for the future by contactinghello@en-hospitality.com; details are in our Privacy Policy. Please tell a host at the start of an Event if you do not wish to be photographed, and we will take reasonable steps to respect this. Guests may take personal photos for private use but must respect other guests who ask not to be photographed and must not record talks or performances without the speaker's consent.
37. Health, safety and personal responsibility
You are responsible for assessing whether an Event and any activity within it (e.g. a craft or ceramics workshop, or consumption of particular food and drink) is suitable for you, including in light of allergies, dietary needs and health conditions. Please inform us of relevant allergies or requirements in advance; we will try to accommodate them but cannot guarantee an allergen-free environment. Follow all safety instructions given at workshops. Participation in hands-on activities is at your own risk save as provided in Section 38.
38. Liability (Part C)
We are liable without limitation for damage arising from injury to life, body or health caused by a breach of duty on our part or by our legal representatives or agents, for damage caused intentionally or by gross negligence, where we have given a guarantee, and under the German Product Liability Act.
In the event of a slightly negligent breach of a material contractual obligation, our liability is limited to the foreseeable damage typical for this type of contract; any further liability for slight negligence is excluded. Where our liability is limited or excluded, this also applies to the personal liability of our employees, representatives and agents.
We are not responsible for the acts or omissions of other guests, for items you bring to or lose at an Event, or for services provided by independent venues and suppliers under their own contracts with you. Statutory rights against those third parties are unaffected.
39. Force majeure
Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including natural events, epidemics and pandemics, official measures, strikes, energy or supply failures, and serious IT disruptions. If such an event prevents an Event from taking place, Section 31 (refund) applies. If it substantially affects an ongoing EN. Marketing engagement for more than 30 days, either party may terminate the affected engagement for good cause.
